5.6 Custom Digital Solutions
Any custom service will be governed by the scope specifically agreed between DevCodder Q and the Client.
6. PROJECT SCOPE
Each project should have a defined scope covering required pages, features, design requirements, functional requirements, technology, number of revisions, content requirements, delivery schedule, hosting/domain requirements, third-party integrations, maintenance requirements, pricing, and payment schedule. DevCodder Q is not obligated to provide functionality or deliverables not included in the agreed scope.
7. QUOTATIONS AND ESTIMATES
Any quotation, estimate or proposal provided by DevCodder Q is based on the information available at the time of preparation. Unless specifically stated otherwise, a quotation does not include: additional functionality requested later, third-party subscriptions, domain registration, hosting charges, paid plugins, premium fonts, paid APIs, app-store fees, advertising costs, or applicable taxes.
8. PROJECT ACCEPTANCE
A project becomes confirmed when DevCodder Q receives the applicable acceptance, signed agreement, written approval, or required advance payment as specified in the proposal. DevCodder Q may decline a project where the work is unlawful, creates security risks, involves fraudulent activity, violates IP rights, or presents unreasonable technical or commercial risks.
9. CLIENT RESPONSIBILITIES
The Client is responsible for providing accurate and lawful information required for the Project, including: business information, logos, brand assets, images, written content, product information, contact information, login credentials, domain and hosting information, API credentials, legal notices, privacy policies, and other materials reasonably necessary to complete the Project. The Client must have the legal right to provide all materials supplied to DevCodder Q.
10. CLIENT CONTENT
The Client retains responsibility for content supplied by the Client. The Client represents that materials supplied do not knowingly infringe copyright, trademarks, privacy rights, contain unlawful or malicious material, or violate applicable law. The Client grants DevCodder Q the permissions necessary to use supplied materials for performing the agreed Services.
11. INTELLECTUAL PROPERTY — CLIENT MATERIALS
Unless otherwise agreed in writing, the Client retains ownership of original materials supplied by the Client, including client-owned logos, original photographs, trademarks, written content, documents, and business data.
12. INTELLECTUAL PROPERTY — DEV CODDER Q MATERIALS
DevCodder Q retains ownership of its pre-existing design systems, templates, reusable components, development methods, frameworks, code libraries, utilities, general know-how, processes, concepts, tools, and internal systems. Payment for a Project does not automatically transfer ownership of DevCodder Q's pre-existing intellectual property.
13. FINAL DELIVERABLE OWNERSHIP
🟢 Final Custom Deliverables Transfer
Where a written agreement provides that ownership transfers to the Client upon full payment, that transfer will occur only after all amounts due for the relevant deliverables have been paid in full. Until payment is complete, DevCodder Q may retain ownership or licensing rights to the deliverables.
14. THIRD-PARTY SOFTWARE AND ASSETS
Projects may involve third-party technologies including hosting services, domain registrars, fonts, APIs, payment gateways, maps, analytics services, cloud services, plugins, open-source libraries, stock images, and communication platforms. Third-party software remains subject to their own licenses and terms. DevCodder Q does not transfer ownership of third-party intellectual property it does not own.
15. OPEN-SOURCE SOFTWARE
Where open-source software is used, it remains subject to the relevant open-source licence obligations.
16. WEBSITE HOSTING
Unless explicitly included in a Project agreement, hosting is not automatically included. Hosting availability depends on the provider, and provider maintenance may affect availability. DevCodder Q is not responsible for failures caused solely by third-party hosting providers.
17. DOMAIN REGISTRATION
Domain registration is generally a third-party service. The Client should be the registrant or beneficial owner of the domain unless otherwise agreed. Failure to renew a domain may result in suspension or loss. DevCodder Q is not responsible for domain loss caused by failure to renew unless expressly agreed in writing to manage the renewal.
18. PROJECT TIMELINES
DevCodder Q will make reasonable efforts to meet agreed timelines. Timelines may depend on: timely Client feedback, content delivery, approval of designs, payment, third-party services, technical requirements, and scope changes. Unless expressly guaranteed in writing, project completion dates are estimates rather than absolute guarantees.
19. CLIENT FEEDBACK
The Client should provide feedback within a reasonable period after receiving a design, prototype or deliverable for review. Where a project becomes inactive because the Client does not respond for an extended period, DevCodder Q may pause the Project. Any restart may be subject to revised timelines, availability and pricing.
20. DESIGN REVISIONS
The number of included revisions should be specified in the applicable quotation or Project agreement. A revision means a reasonable modification to an existing agreed design — not a completely new design, new pages, new functionality, or new application architecture. Major changes may be treated as additional work.
21. CHANGE REQUESTS
After the scope is approved, additional requests may be treated as Change Requests and may affect price, delivery time, resources, technology, testing, and project scope. DevCodder Q may provide a revised quotation before performing substantial additional work.
22. CONTENT RESPONSIBILITY
Unless content creation is explicitly included in the Project, the Client is responsible for supplying final website content including text, prices, contact details, product descriptions, legal claims, and images. DevCodder Q is not responsible for inaccuracies contained in Client-supplied content.
23. SEO SERVICES
Where SEO services are provided, DevCodder Q will use reasonable professional practices. SEO results are not guaranteed. DevCodder Q does not guarantee first-page rankings, position #1, specific traffic levels, specific leads, specific revenue, or specific indexing dates. Search engines control their own algorithms, and algorithm changes may affect visibility.
24. GOOGLE AND SEARCH ENGINE POLICIES
Where SEO is provided, DevCodder Q intends to follow legitimate search-engine optimization practices. We do not knowingly provide: cloaking, hidden text, keyword stuffing, fake reviews, automated spam, manipulative link schemes, doorway pages, or fraudulent search-engine activity.
25. APP DEVELOPMENT
For app-related projects, the exact deliverables will be defined in the applicable Project agreement. App-store approval is controlled by the relevant app-store operator. DevCodder Q does not guarantee approval by Apple App Store, Google Play, or any other marketplace. Where rejection occurs due to a platform policy, additional changes may be required and may constitute additional work unless included in the original scope.
26. GRAPHIC DESIGN
Unless otherwise specified, graphic design deliverables are supplied in the formats agreed for the Project. Source/editable files are not automatically included unless stated in writing. Third-party fonts, stock images and other licensed assets may have separate usage restrictions.
27. PAYMENT TERMS
Payment schedules will be specified in the applicable quotation or Project agreement. Possible payment structures may include: advance payment, milestone payments, final payment before delivery, monthly payments, or other agreed arrangements. The Client must pay invoices by the applicable due date.
28. LATE PAYMENT
Where payment is overdue, DevCodder Q may: pause work, withhold delivery, suspend access to project resources, delay launch, and request payment before continuing. Any applicable late-payment charges must be expressly stated in the relevant agreement and must comply with applicable law.
29. TAXES
Unless otherwise stated, applicable taxes, government charges, payment processing charges and other legally required charges may be payable by the Client. Any applicable GST or other tax will be handled according to the law applicable to the transaction.
30. REFUND POLICY
Refund eligibility depends on the nature and stage of the service and the applicable project agreement. Because digital services may involve work performed specifically for a Client, completed work, allocated resources, purchased assets and third-party costs may affect refund eligibility. Any refund terms expressly agreed in a Project agreement will govern.
31. CANCELLATION BY CLIENT
The Client may request cancellation of a Project. Cancellation must be communicated through an appropriate written channel. Upon cancellation, the Client may remain responsible for: work already completed, approved milestones, non-refundable third-party costs, purchased licences, and allocated resources where legally and contractually applicable.
32. TERMINATION BY DEV CODDER Q
DevCodder Q may suspend or terminate a Project where reasonably necessary because of: non-payment, material breach of these Terms, fraudulent activity, unlawful requests, abusive behaviour, intellectual property concerns, security risks, repeated failure to provide necessary information, prolonged inactivity, or circumstances making performance commercially or technically unreasonable.
33. EFFECT OF TERMINATION
Upon termination: outstanding amounts may become due as provided by the applicable agreement; work may be paused; access may be suspended where legally permitted; third-party subscriptions may remain the Client's responsibility; intellectual property rights will remain governed by the applicable agreement; and confidentiality obligations will continue where applicable.
34. WEBSITE MAINTENANCE
Unless explicitly included, website development does not automatically include unlimited maintenance. Maintenance may include separately agreed services such as: bug fixes, content updates, security updates, feature updates, performance optimization, and technical support.
35. BUG FIXES
🟢 Support & Warranty Period
Where DevCodder Q provides a defined support or warranty period, genuine defects caused by DevCodder Q's implementation may be corrected within that period. A defect does not include: new functionality, third-party failure, client modifications, hosting failure, browser changes, changes to third-party APIs, or scope changes.
36. THIRD-PARTY SERVICES
DevCodder Q may rely on third parties. Third-party failures may include: hosting downtime, API changes, payment service outages, domain issues, cloud failures, platform policy changes, and software updates. DevCodder Q will make reasonable efforts to assist with issues within our control but cannot guarantee continuous availability of third-party services.
37. SECURITY
DevCodder Q will use reasonable technical and organizational measures appropriate to the nature of the services. However, no internet-connected system can be guaranteed to be completely secure. Clients should use strong passwords, multi-factor authentication where available and secure hosting practices.
38. DATA PROTECTION
DevCodder Q may process personal information received through: contact forms, emails, phone communications, WhatsApp communications, project communications, website analytics, and contractual documentation. Personal data will be handled according to applicable privacy laws and the DevCodder Q Privacy Policy. Where GDPR applies, DevCodder Q intends to follow applicable GDPR requirements. Where Indian data-protection law applies, DevCodder Q intends to comply with applicable Indian data-protection requirements, including the Digital Personal Data Protection Act, 2023.
39. GDPR APPLICABILITY
The General Data Protection Regulation ("GDPR") may apply where its territorial requirements are satisfied. Where GDPR applies, DevCodder Q will process personal data in accordance with applicable GDPR obligations including: lawfulness, fairness and transparency; purpose limitation; data minimisation; accuracy; storage limitation; security; and accountability.
40. GDPR LEGAL BASES
Where GDPR applies, personal data may be processed under an applicable legal basis including where appropriate: Consent; Performance of a contract; Steps requested before entering into a contract; Compliance with a legal obligation; or Legitimate interests where legally applicable.
41. GDPR TRANSPARENCY
Where GDPR applies, privacy information should explain: who processes the information, what information is collected, why it is collected, legal basis, recipients, retention, international transfers, individual rights, and complaint rights.
42. GDPR DATA SUBJECT RIGHTS
Where GDPR applies, an individual may have rights including:
- Right to be informed;
- Right of access;
- Right to rectification;
- Right to erasure;
- Right to restriction;
- Right to data portability;
- Right to object;
- Rights relating to automated decision-making and profiling where applicable.
These rights are subject to the limitations and conditions established by law. GDPR access requests generally must be answered normally within one month.
43. DATA PROCESSING REQUESTS
Where legally applicable, requests concerning personal data should be sent through the privacy/contact channel published by DevCodder Q. A requester may be asked for reasonable information needed to verify identity and protect against unauthorized disclosure.
44. DATA RETENTION
Personal data will not be retained indefinitely without a legitimate reason. All temporary website inquiry text logs are automatically purged after 60 days as detailed in our Privacy Policy. When personal information is no longer required, it will be deleted, anonymized or otherwise handled according to applicable law.
45. INTERNATIONAL DATA TRANSFERS
Because DevCodder Q may use third-party cloud, hosting, analytics, communication or software providers, personal information may potentially be processed outside India. Where GDPR applies and a restricted international transfer occurs, DevCodder Q will use an appropriate lawful transfer mechanism where required, including adequacy decisions, Standard Contractual Clauses, or other legally recognized safeguards.
46. DATA PROCESSORS
Where DevCodder Q uses a third party to process personal data on its behalf and applicable law requires a processor agreement or equivalent contractual protection, appropriate contractual arrangements should be used. Potential providers may include: hosting providers, cloud providers, email providers, analytics providers, CRM systems, and communication services.
47. DATA BREACHES
DevCodder Q will maintain reasonable security procedures appropriate to the nature and scale of its operations. If a personal-data breach occurs, DevCodder Q will assess the incident and take steps required by applicable law, including required notifications.
48. COOKIES
The website may use cookies or similar technologies for: essential website functionality, security, preferences, analytics, performance, and other purposes disclosed in the Cookie Policy. Where consent is legally required, appropriate consent mechanisms are implemented.
49. THIRD-PARTY PRIVACY POLICIES
Links to third-party websites or services may be provided. DevCodder Q is not responsible for the privacy practices of third parties. Users should review the relevant third party's privacy policy before providing personal information.
50. CHILDREN'S PRIVACY

51. CONFIDENTIALITY
Each party may receive confidential information from the other, including: business information, passwords, project plans, source materials, commercial information, and non-public product information. Each party should use reasonable care to protect confidential information. Confidentiality does not apply to information that is publicly available, was already lawfully known, is independently developed, or must be disclosed by law.
52. CLIENT CREDENTIALS
Where the Client provides passwords or access credentials, they should be provided only as reasonably required, transmitted securely, and changed after project completion where appropriate. The Client remains responsible for account ownership and authorization.
53. PROHIBITED PROJECTS
DevCodder Q may refuse projects involving: fraud, phishing, malware, credential theft, illegal surveillance, copyright infringement, counterfeit goods, financial scams, deceptive websites, illegal gambling where prohibited, unlawful adult content, terrorist or extremist activities, hacking services intended for unauthorized access, or other unlawful activities.
54. USER-GENERATED CONTENT
If the website later permits reviews, comments, uploads or other user-generated content, users remain responsible for their submissions. Users must not submit content that is: illegal, defamatory, infringing, malicious, harassing, fraudulent, privacy-invasive, or otherwise unlawful.
55. INTELLECTUAL PROPERTY INFRINGEMENT CLAIMS
If you believe that content or materials associated with a DevCodder Q project infringe your intellectual property rights, contact us with sufficient information to investigate, identifying the rights allegedly infringed, the relevant material, the claimant's authority, and contact details.
56. PORTFOLIO RIGHTS
Unless the Project agreement states otherwise, DevCodder Q may wish to display completed work in its portfolio for promotional purposes. Where a Client requests confidentiality or the Project involves confidential information, DevCodder Q should obtain appropriate permission before publicly displaying confidential materials.

65. CHANGES TO THESE TERMS
DevCodder Q may update these Terms from time to time. When material changes are made, the updated version should display a revised "Last Updated" date. Continued use of the website after an updated version becomes effective may constitute acceptance where legally permissible.
